ARTICLE I
The name of this organization shall be “The Cottonwood Tennis Club” and will be herein referred to as C.T.C.

ARTICLE II – PURPOSE
To provide an active program of tennis acticities governed by USTA rules and related social events in order to create interest and participation on the part of all skill levels of tennis players.

ARTICLE III – MEMBERSHIP
Membership is open to all homeowners and renters in the Sun Lakes Homeowners Association #2 (HOA#2).  It is also open to other sun Lakes residents who have paid tennis fees to the HOA#2 in accordance with the reciprocal agreements and the HOA#2 Board Policies.

ARTICLE IV –
Section I – Board of Directors
The Board of Directors, elected for one-year terms or until their successors are installed, shall consist of a President, Vice-President, Secretary, Treasurer, Tournament Director and the immediate past President.  All members of the Board of Directors must be Sun Lakes Phase II homeowners and will be voting members.

Section 2 – Powers of The Board of Directors
The Board of Directors shall have general supervision of the C.T.C. and make recommendations to the membership relating to any major changes or unusual expenditure of funds.

Section 3 – Election of Officers
The election of officers will take place at the February meeting with the office effective after the installation of officers at the March meeting.  In the event of a vacancy occurring during the term, the President will appoint a replacement for the remainder of the term.

ARTICLE V –
Section 1 – Meetings
Meetings of the members will take place on the third Wednesday of each month or as scheduled by the President.  In the event of a conflict of dates, a scheduled membership meeting date can be changed at the President’s discretion.  Meetings will be conducted by the President and will follow Robert’s Rules of Order.

Section 2 – Proposals
Proposals voted upon will “pass” upon the majority vote of the members present at the monthly membership meeting.

Section 3 – Board of Directors Meetings
Meetings of the Board of Directors shall be held prior to membership meetings or as called by the President.  A quorum is defined as four of six Board members.

ARTICLE VI
Section 1 – Dues
A change in membership dues will be determined by a majority vote of the members at a regularly scheduled meeting only after it has been announced at the previous meeting.

Section 2 – Dues Payment
Dues for the fiscal year (April 1 through March 31) are due on or before March 31st and shall be deemed delinquent thereafter.  Any person wishing to join the CTC after March 1, will only pay dues for the upcoming year and be considered a member.

ARTICLE VII – NOMINATING COMMITTEE
The Nominating Committee, consisting of 3-5 members appointed by the President in December, should select a slate of candidates for the Board of Directors for the upcoming year to be presented at the General Meeting one month prior to the election of officers.  Additional nominations may be made prior to the printing of ballots or presented from the floor the day of the election.  If more than one person is nominated for any office, voting MUST be by secret ballot.





ARTICLE VIII – DUTIES OF THE OFFICERS
The following is a general overview of the duties and responsibilities of the members of the Board of Directors.  A specific list of the duties and responsibilities of the members of the Board of Directors can be found in the task description for each position.

1.PRESIDENT – The President shall preside at all meetings.  He/She shall appoint all committees.  He/She shall be an Ex-Officio member of all committees, except the Nominating Committee.  He/She shall perform other duties as authorized by the Board of Directors.  The President will appoint a Bradshaw Tournament Chairman to develop the week-long tournament with sponsors for awards and refreshments.

2.VICE-PRESIDENT – The Vice-President shall, in the absence or inability of the President to act, have and perform the powers and duties herein prescribed for the President.  He/she shall perform other duties as authorized by the President.

3.SECRETARY – The Secretary shall keep full and complete minutes of all Board of Directors and the monthly membership meetings.  He/she will attend to all correspondence and perform such duties as the President may from time to time authorize and prescribe.

4.TREASURER – The Treasurer shall issue and sign all checks drawn on the funds of the C.T.C  In the absence of the Treasurer, the President may sign.  He/She shall render a written or verbal report of all receipts and expenditures at each general meeting.  He/She shall make disbursements to C.T.C. members and shall receive itemized vouchers for each expenditure.

5.TOURNAMENT DIRECTOR – The Tournament Director shall promote, organize and implement all inter-club and intra-club tournaments sponsored by the C.T.C.

6.1ST PAST PRESIDENT – The 1st Past President shall serve a two-year position as one of the Tennis Club representatives on the Phase II Recreation Committee.  The 1st Past President shall serve as the historian.

ARTICLE IX – AMENDMENTS
Changes in the intent of any statement in these by-laws may be amended at any meeting of the C.T.C. by a vote of two-thirds of the members present, provided that the proposed changes have been read to the membership at a previous meeting of the membership at least ten (10) days prior to a vote.  Changes that do not impact the original intent of any statement in these by-laws may be approved by the unanimous vote of the Board of Directors.

ARTICLE X – REMOVAL OF OFFICERS
Any officer may be removed from office by a Sixty Percent vote of the members present at a meeting which has been scheduled at least ten (10) days after a previous meeting at which a motion had been passed to vote on the removal from office.
